These Terms of Service ("Terms") govern your use of Zugify's website and rental services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Acceptance of Terms
By creating an account, placing an order, or using our website, you agree to these Terms, our Privacy Policy, and our Equipment Rental Agreement. You must be at least 18 years old to use our services.
2. Account Registration
To rent equipment, you must:
- Provide accurate and complete information
- Be at least 18 years of age
- Have a valid credit card and U.S. bank account
- Maintain the security of your account credentials
- Promptly update any changes to your information
You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.
3. Rental Services
Eligibility
Rentals are subject to credit approval and availability. We reserve the right to refuse service to anyone for any reason. Approval is based on credit score, bank balance, and rental history.
Rental Terms
- Rentals are billed monthly on a recurring basis
- First month's rent and security deposit due upfront
- Rental period begins at delivery
- Automatic renewal each month until cancelled
- Cancellation must occur before next billing date
Equipment Condition
All equipment is provided "as-is" and is tested before shipment. Report any issues within 24 hours of delivery. See our Equipment Rental Agreement for full terms regarding damage, loss, and liability.
4. Payments and Billing
You authorize us to charge your payment method for:
- Monthly rental fees
- Security deposits (held, not charged unless damage/loss occurs)
- Late fees (if applicable)
- Damage or replacement costs
- Shipping and handling
All payments are non-refundable except as stated in our refund policy. If payment fails, we may suspend your account and pursue collection.
5. Cancellations and Returns
You may cancel your rental at any time before your next billing date. To cancel:
- Request a return label from your account dashboard
- Pack and ship the item using our prepaid label
- Equipment must be received before your next billing date
Late returns are subject to penalties as outlined in our Equipment Rental Agreement.
6. Prohibited Conduct
You agree not to:
- Provide false information or impersonate others
- Use our services for illegal activities
- Modify, resell, or sublease rental equipment
- Attempt to circumvent security measures
- Reverse engineer or scrape our website
- Abuse, harass, or threaten our staff
- Use bots or automated tools without permission
Violation of these terms may result in account suspension or termination, and we may pursue legal action.
7. Intellectual Property
All content on our website (text, images, logos, software) is owned by Zugify or our licensors and is protected by copyright and trademark laws. You may not:
- Copy, reproduce, or distribute our content without permission
- Use our trademarks or branding without authorization
- Create derivative works from our website or services
8. Disclaimers and Warranties
Our services are provided "as-is" without warranties of any kind. We do not guarantee:
- Uninterrupted or error-free service
- Availability of specific equipment
- Accuracy of product descriptions
- Specific delivery dates or times
Equipment is provided in working condition but may show normal wear. We are not responsible for compatibility with your specific use case.
9. Limitation of Liability
To the maximum extent permitted by law, Zugify is not liable for:
- Indirect, incidental, or consequential damages
- Lost profits, data, or business opportunities
- Damages exceeding the amount you paid in the last 12 months
- Damages caused by your misuse of equipment
- Third-party actions (shipping delays, payment processor issues)
10. Indemnification
You agree to indemnify and hold harmless Zugify, its officers, employees, and agents from any claims, losses, or damages arising from your use of our services, violation of these Terms, or violation of any third-party rights.
11. Dispute Resolution
Informal Resolution
Before filing a claim, contact us at support@zugify.com to resolve the issue informally. We'll work with you in good faith to find a solution.
Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial and class action lawsuits.
Exceptions
Either party may seek injunctive relief in court for intellectual property disputes or collection matters.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.
13. Termination
We may suspend or terminate your account at any time for:
- Violation of these Terms
- Fraudulent activity or payment disputes
- Late or unreturned equipment
- Abusive behavior toward staff
Upon termination, you must immediately return all rented equipment. Outstanding charges remain due.
14. Changes to Terms
We may modify these Terms at any time. We'll notify you of significant changes by email or website notice. Continued use after changes constitutes acceptance. If you disagree with changes, cancel your rental and stop using our services.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
